Terms of Service

Effective Date: August 7, 2025

By accessing or using FedMCP Exchange ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

1. Definitions

"FedMCP Exchange" or "Exchange"
The marketplace platform for FedRAMP-aligned connectors and compliance artifacts
"Connector"
Software packages that enable integration between systems using the FedMCP protocol
"User" or "You"
Any individual or organization accessing or using the Service
"Government Entity"
Federal, state, or local government agencies and their authorized contractors

2. Acceptable Use

You MAY

  • • Download and use connectors per license terms
  • • Create and publish your own connectors
  • • Access compliance documentation
  • • Integrate with government systems
  • • Submit feedback and bug reports

You MUST NOT

  • • Reverse engineer or modify signed artifacts
  • • Circumvent license validation
  • • Share credentials or API keys
  • • Violate export control regulations
  • • Use for unauthorized purposes

Export Control Notice

This Service may contain technical data subject to U.S. export control laws. Users must comply with all applicable export and re-export control laws, including the Export Administration Regulations (EAR) and International Traffic in Arms Regulations (ITAR).

3. Account Terms

Account Creation

  • ▸You must provide accurate and complete information
  • ▸Government entities must use official email addresses
  • ▸You are responsible for maintaining account security
  • ▸Multi-factor authentication is required for government accounts

Account Responsibilities

You are responsible for:

  • All activity under your account
  • Maintaining the confidentiality of credentials
  • Immediately notifying us of unauthorized use
  • Compliance with your organization's policies

4. Connector Licensing

License Types

Open Source Connectors

Released under Apache 2.0 license. Free to use, modify, and distribute per license terms.

Premium Connectors

Subject to commercial licensing. Includes support, updates, and compliance certifications. License validation required.

Government Unlimited

Special licensing for federal agencies. Unlimited use within agency boundaries. Includes priority support.

Important: License violations may result in immediate termination of access and legal action.

5. Payment Terms

Subscription Billing

  • • Billed monthly or annually in advance
  • • Automatic renewal unless cancelled
  • • Price changes with 30-day notice
  • • No refunds for partial periods

Government Procurement

  • • Net 30 payment terms available
  • • Accepts government purchase orders
  • • GSA Schedule pricing honored
  • • Volume discounts for agencies

Free Trial Terms

30-day free trial includes full access to all premium connectors. No credit card required. Automatic conversion to free tier after trial unless you upgrade.

6. Intellectual Property

Ownership

The following ownership rules apply:

  • ▸
    FedMCP Protocol: Open source under Apache 2.0 license
  • ▸
    Premium Connectors: Proprietary to Peregrine Tec LLC or respective vendors
  • ▸
    Your Content: You retain ownership of your data and custom configurations
  • ▸
    Contributions: Submitted under Contributor License Agreement (CLA)

License Grant to You

Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable license to use the Service and connectors according to your subscription level.

7. Warranties and Disclaimers

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • • MERCHANTABILITY
  • • FITNESS FOR A PARTICULAR PURPOSE
  • • NON-INFRINGEMENT
  • • ACCURACY OR COMPLETENESS
  • • UNINTERRUPTED OR ERROR-FREE SERVICE

NO WARRANTY FOR GOVERNMENT COMPLIANCE: While designed for government use, we do not warrant that the Service meets all agency-specific requirements.

8. Limitation of Liability

To the maximum extent permitted by law:

IN NO EVENT SHALL PEREGRINE TEC LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION:

  • • Loss of profits, data, or use
  • • Procurement of substitute goods or services
  • • Business interruption
  • • Compliance failures or penalties

Aggregate Liability Cap: Our total liability shall not exceed the amount paid by you in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless Peregrine Tec LLC and its affiliates from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from:

  • Your use of the Service
  • Violation of these Terms
  • Infringement of intellectual property rights
  • Your content or data

10. Termination

Your Right to Terminate

You may terminate your account at any time by:

  • • Cancelling your subscription
  • • Requesting account deletion
  • • Ceasing use of the Service

Our Right to Terminate

We may terminate or suspend access for:

  • • Violation of these Terms
  • • Non-payment of fees
  • • Security concerns
  • • Legal compliance requirements

Effect of Termination

Upon termination: (1) your access rights cease immediately, (2) you must stop using all connectors, (3) we may delete your data after 90 days, and (4) provisions that should survive termination will remain in effect.

11. Governing Law and Disputes

Governing Law

These Terms are governed by the laws of the United States and the State of Texas, without regard to conflict of law principles.

Dispute Resolution

We prefer to resolve disputes amicably. The following process applies:

  1. Good faith negotiation (30 days)
  2. Mediation if negotiation fails
  3. Binding arbitration under AAA rules
  4. Small claims court for qualifying disputes

Class Action Waiver: You agree to resolve disputes individually and waive any right to participate in class actions.

12. General Provisions

Entire Agreement

These Terms constitute the entire agreement between you and FedMCP Exchange.

Severability

If any provision is unenforceable, the remaining provisions continue in effect.

Assignment

You may not assign these Terms. We may assign our rights to any successor.

Waiver

No waiver is effective unless in writing and signed by the waiving party.

13. Special Terms for Government Entities

Federal Acquisition Regulation (FAR) Compliance

For U.S. Government entities, the following additional terms apply:

  • ▸The Service is a "Commercial Item" under FAR 2.101
  • ▸Government obtains only the rights specified in these Terms
  • ▸Use is subject to FAR 12.212 and DFARS 227.7202
  • ▸Disputes subject to Contract Disputes Act if applicable

15. Modifications to Terms

We may modify these Terms at any time. Material changes will be notified via email or Exchange dashboard with at least 30 days notice. Continued use after the effective date constitutes acceptance of the modified Terms.

For government entities with existing contracts, modifications apply only to new orders unless otherwise agreed in writing.

By using FedMCP Exchange, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
